Legal notices, disclaimers & terms
Last updated July 2, 2026 · Draft for counsel review before any production use
1. Prototype & demonstration status
This software is a demonstration prototype provided "AS IS" without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Negotiation seats, health plans, licenses, board certifications, CPT codes, reimbursement rates, and remittances in the prototype are mock. The provider directory sample is public NPPES data, labeled as a sample, and is not a patient record.
2. No professional advice
Clear Pact does not provide legal, medical, financial, tax, actuarial, or other professional advice. Contract clauses, templates, rate schedules, and benchmarks are informational tools. Every agreement should be reviewed by qualified healthcare counsel licensed in the relevant jurisdiction before execution. Clear Pact is not a law firm and no attorney–client relationship is created by use of this platform.
3. Not a payer, TPA, CVO, or clearinghouse
Clear Pact is a software platform. It is not an insurer, health plan, third-party administrator, credentialing verification organization (CVO), or healthcare clearinghouse, and it does not adjudicate claims, determine coverage, or guarantee payment. License verification results reflect the response of the configured data source at the time of the check and are not a certification of licensure status.
4. Protected health information
The prototype is not intended to receive, store, or transmit protected health information (PHI) under HIPAA. Do not upload real patient data, real remittance files, or any individually identifiable health information. Production use involving PHI requires executed Business Associate Agreements and the controls described in COMPLIANCE.md.
5. Electronic signatures
In demonstration mode, signatures are illustrative only and create no legal obligation. In production, the platform records ESIGN/UETA consent, typed legal name, signature image, timestamp, and network metadata; parties are responsible for confirming that electronic execution is permissible for their agreement type and jurisdiction.
6. Rate benchmarks & market data
Benchmark figures are derived from public sources (including CMS fee schedules and payer price-transparency files) and are provided for reference only. They are not a rate recommendation, a guarantee of reimbursement, or an invitation to coordinate prices. Each party negotiates independently.
7. Fees
Platform fees, where applicable, are calculated as disclosed at the time of contracting (currently 0.1% of remittances processed under contracts executed on the platform). Fee structure is subject to state regulatory review and may vary by jurisdiction.
8. Limitation of liability
To the maximum extent permitted by law, Clear Pact and its contributors are not liable for any indirect, incidental, consequential, special, or exemplary damages, or for lost profits, revenue, or data, arising from use of this software — including reliance on any contract language, verification result, benchmark, or fee calculation.
9. Intellectual property
The Clear Pact name, mark, and platform design are proprietary. The standardized clause library may be published under an open license; until such publication, all content is © 2026 Clear Pact. Patent(s) pending on the modular clause negotiation, cryptographic audit, and remittance fee-metering system.
10. Privacy (summary)
Demo mode stores data only in your browser (localStorage) — nothing leaves your device except API calls you initiate (NPPES lookup, license verification, PDF generation). Production data handling is governed by the privacy policy to be issued at launch, reviewed against HIPAA, state privacy statutes, and platform BAAs.
This page is a working draft prepared for review by qualified counsel and does not itself constitute legal advice.
